1. Agreement to Terms
These Terms and Conditions (“Agreement”) govern all services provided by Smith Ranch & Steel (“Company,” “we,” “our,” or “us”) to any client, customer, or user (“Client,” “you,” or “your”) engaging in services including but not limited to steel building erection, fabrication, installation, ranch solutions, fencing, commercial construction, and related services within the State of Arizona.By engaging our services, signing a proposal, or submitting payment, you agree to be bound by these Terms and Conditions.
2. Scope of Services
The Company agrees to provide services as outlined in the approved estimate, proposal, or contract. Services may include, but are not limited to:Steel building erection and installationRanch structures, fencing, and livestock systemsCommercial and residential steel constructionEquipment installation (including but not limited to livestock systems)All work will be performed in accordance with industry standards and applicable Arizona laws and regulations.
3. Estimates, Pricing & Payment Terms
All estimates are valid for 30 days unless otherwise stated.A deposit may be required prior to project commencementRemaining balances are due according to the agreed payment scheduleFinal payment is due upon substantial completion of workFailure to make timely payments may result in:Suspension of workAdditional feesLegal action to recover unpaid balancesClient agrees to pay all costs associated with collection, including attorney’s fees, court costs, and interest as permitted under Arizona law.
4. Change Orders
Any modifications to the original scope of work must be documented and approved in writing as a Change Order.Additional costs, materials, or labor required due to changes will be billed separately and may impact project timelines.
5. Project Timeline & Delays
All timelines are estimates and subject to change due to factors outside of our control, including but not limited to:Weather conditionsMaterial delays or shortagesPermitting delaysSite conditionsActs of GodThe Company shall not be held liable for delays caused by these circumstances.
6. Client Responsibilities
The Client agrees to:
Provide accurate project information and property access
Ensure all permits, zoning approvals, and utilities (unless otherwise agreed) are in place
Maintain a safe and accessible worksite
Delays caused by Client failure to meet these responsibilities may result in additional charges.
7. Site Conditions & Unknown Factors
The Company is not responsible for unforeseen site conditions, including but not limited to:Soil instabilityUnderground utilities not disclosedEnvironmental hazardsPre-existing structural issuesAny additional work required due to such conditions will be treated as a change order.
8. Materials & Substitutions
The Company reserves the right to substitute materials of equal or greater quality if specified materials become unavailable.All materials remain the property of the Company until full payment is received.
9. Warranties & Disclaimer
The Company warrants that work will be completed in a workmanlike manner consistent with industry standards.
EXCEPT AS EXPRESSLY STATED:
No additional warranties, express or implied, are provided
This includes warranties of merchantability or fitness for a particular purpose
Manufacturer warranties (if applicable) will be passed to the Client.
10. Limitation of Liability
To the fullest extent permitted under Arizona law:The Company shall not be liable for indirect, incidental, or consequential damages
Total liability shall not exceed the total amount paid by the Client for services
11. Indemnification
Client agrees to indemnify, defend, and hold harmless the Company from any claims, damages, or liabilities arising out of:Client negligenceImproper use of structuresFailure to maintain completed work
12. Insurance & Risk
The Company maintains appropriate insurance coverage as required by Arizona law.Client is responsible for insuring personal property, equipment, or materials located on the job site.
13. Termination
The Company reserves the right to terminate services if:
Payments are not made as agreed
The Client breaches this Agreement
Unsafe working conditions exist
Client may terminate services in writing but remains responsible for all work completed and materials ordered up to the termination date.
14. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Arizona.Any disputes shall be resolved in the appropriate courts located within Arizona.
15. Dispute Resolution
In the event of a dispute:Both parties agree to attempt resolution through good faith negotiationIf unresolved, disputes may proceed to mediation or litigation
16. Entire Agreement
This Agreement constitutes the entire understanding between the parties and supersedes all prior agreements, whether written or oral.
17. Severability
If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
